Terms of Service

By creating an account, accessing, or using the OffMarketMatch platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.

You must be at least 18 years of age and a resident of Canada to use this Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.

OffMarketMatch is a private real estate marketplace that connects buyers and sellers of off-market properties across Canada. The Platform provides tools including property listings, AI-powered valuations, legal document templates, deal management, and communication features.

Important: OffMarketMatch is a technology platform, not a real estate brokerage. We do not act as a real estate agent, broker, or legal advisor. We do not provide legal, financial, tax, or investment advice. Users are responsible for seeking independent professional guidance for their transactions.

Registration

To access certain features, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Verification

We may require identity verification, proof of funds, or other documentation to access certain Platform features. You agree to provide truthful information and cooperate with our verification processes.

Account Responsibilities

• You may not share your account with others or allow unauthorized access
• You must notify us immediately of any unauthorized use of your account
• You are solely responsible for all content you post or submit through the Platform
• You must keep your contact information current

Subscription Plans

The Platform offers various membership tiers with different features and pricing. Current pricing and features are displayed on our Membership page and may be updated from time to time. Free-tier access is available with limited features.

Billing

• Paid subscriptions are billed monthly or annually as selected at time of purchase
• All prices are in Canadian dollars (CAD) unless otherwise stated
• Recurring membership subscriptions and one-time purchases (reports, featured listings) are processed through Stripe
• You authorize us to charge your selected payment method for all applicable fees

Platform Pricing and One-Time Purchases

In addition to memberships, the Platform may offer separately priced products such as Buyer Access Passes, fixed-term property listings, CMA reports, self-service agreements, or listing boosts. Each product is available only when its checkout is enabled; its price and terms are shown before payment. Some product checkouts may be unavailable. The Platform does not charge commissions, percentage-of-sale fees, or fees payable at closing. A fee negotiated between transaction parties, such as a wholesaler's assignment fee, is not a Platform charge. Independent costs such as legal fees and land transfer taxes may still apply to a property transaction.

Refund Policy

Subscription fees are non-refundable except where required by applicable Canadian consumer protection laws. Promotional credits or trial periods, once expired, revert to the standard pricing of your selected plan.

• You represent that you have the legal authority to list any property you submit to the Platform (as owner, authorized representative, or licensed agent)
• All listing information must be accurate, complete, and not misleading
• You must not list properties you do not own or have legal authority to sell
• The Platform reserves the right to remove any listing that violates these Terms or applicable laws
• Listing a property on the Platform does not constitute an offer to sell and does not create a binding agreement until a formal contract is executed between the parties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Specifically:

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Post false, misleading, or fraudulent property listings or information
• Impersonate any person or entity, or misrepresent your affiliation
• Harass, threaten, or intimidate other users
• Scrape, data mine, or use automated systems to collect information from the Platform
• Attempt to gain unauthorized access to the Platform, other user accounts, or our systems
• Interfere with or disrupt the Platform's functionality or security
• Use the Platform to engage in money laundering or other financial crimes
• Post spam, solicitations, or promotional content unrelated to legitimate real estate transactions
• Circumvent any security features or access controls

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, icons, images, software, and the overall design — are the property of Off Market Match Inc. and are protected by Canadian and international copyright, trademark, and intellectual property laws.

You retain ownership of content you submit to the Platform (such as property photos and descriptions), but grant us a non-exclusive, royalty-free license to use, display, and distribute that content in connection with the Platform's services.

To the maximum extent permitted by applicable law, Off Market Match Inc. and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Any damages arising from transactions between users
• Any damages resulting from unauthorized access to or alteration of your transmissions or data
• Any damages arising from the conduct of any third party on the Platform

Our total liability to you for all claims arising from or relating to the Platform shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Off Market Match Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you post or submit through the Platform
• Any real estate transaction you enter into through the Platform

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Platform, or for any other reason.

You may cancel your account at any time through your account settings. Upon cancellation, your access to paid features will continue until the end of your current billing period, after which your account will revert to the free tier.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (Ontario).

We may modify these Terms at any time by posting the revised Terms on the Platform and updating the "Last updated" date. For material changes, we will provide notice through the Platform or via email. Your continued use of the Platform following any changes constitutes acceptance of the updated Terms.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
